Terms of Service

1. Agreement to Terms

By accessing or using Greenstamp's services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our services.

These Terms apply to all visitors, users, and others who access or use our Mexican electronic invoicing platform.

2. Description of Services

Greenstamp provides a software platform that enables users to:

  • Create and manage CFDI (Comprobante Fiscal Digital por Internet) electronic invoices
  • Submit invoices to authorized PAC providers for SAT certification
  • Manage customer and vendor information
  • Track invoice status and payment records
  • Generate payment complements and credit notes

Our services are designed for businesses operating in Mexico that need to comply with Mexican tax regulations.

3. Account Registration

To use our services, you must:

  • Create an account with accurate and complete information
  • Be at least 18 years old
  • Have the authority to bind the entity you represent
  • Maintain the security of your account credentials

You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use.

4. CSD Certificates and Authorization

By uploading your CSD (Certificado de Sello Digital) certificates to Greenstamp, you:

  • Authorize us to use these certificates to sign invoices on your behalf
  • Confirm you have the legal authority to use these certificates
  • Accept responsibility for all invoices generated using your certificates
  • Agree to keep your certificate passwords secure and confidential

We encrypt and securely store your certificates but you remain responsible for their proper use.

5. User Responsibilities

When using our services, you agree to:

  • Provide accurate and truthful information in all invoices
  • Comply with all applicable Mexican tax laws and SAT regulations
  • Not use our services for fraudulent or illegal purposes
  • Not attempt to circumvent security measures or access unauthorized data
  • Not resell, sublicense, or redistribute our services without permission
  • Keep your account information and certificates up to date

6. Invoice Accuracy and Compliance

While Greenstamp provides tools to help create compliant invoices:

  • You are solely responsible for the accuracy of invoice data you enter
  • You must verify that invoices comply with current SAT requirements
  • We do not provide tax, legal, or accounting advice
  • You should consult qualified professionals for compliance questions

Greenstamp is not liable for errors, omissions, or compliance failures resulting from incorrect user input or misuse of our platform.

7. Fees and Payment

Use of Greenstamp may be subject to fees as described in our pricing:

  • Fees are billed according to your selected plan
  • All fees are in US dollars unless otherwise specified
  • Fees are non-refundable except as required by law
  • We may change pricing with 30 days notice

Failure to pay may result in suspension or termination of your account.

8. Intellectual Property

Greenstamp and its original content, features, and functionality are owned by Greenstamp and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of your business data and invoices. By using our services, you grant us a limited license to process this data as necessary to provide our services.

9. Third-Party Services

Our services integrate with third-party providers including:

  • PAC (Proveedor Autorizado de Certificación) providers for invoice stamping
  • SAT (Servicio de Administración Tributaria) systems
  • Payment processors

We are not responsible for the availability, accuracy, or reliability of third-party services. Your use of these services may be subject to their own terms.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may:

  • Perform scheduled maintenance with advance notice when possible
  • Experience occasional downtime due to technical issues
  • Modify or discontinue features with reasonable notice

We are not liable for any loss or damage resulting from service interruptions.

11. Limitation of Liability

To the maximum extent permitted by law:

  • Greenstamp is provided "as is" without warranties of any kind
  • We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose
  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim

12. Indemnification

You agree to indemnify and hold harmless Greenstamp, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any laws or regulations
  • Inaccurate or fraudulent invoices you create

13. Termination

We may terminate or suspend your account immediately, without prior notice, if you:

  • Breach these Terms
  • Engage in fraudulent or illegal activity
  • Fail to pay applicable fees

You may terminate your account at any time by contacting us. Upon termination, your right to use our services ceases immediately. We may retain certain data as required by law.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law provisions.

Any disputes arising from these Terms or your use of our services shall be resolved in the state or federal courts located in Delaware.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by:

  • Posting the updated Terms on our website
  • Updating the "Last updated" date
  • Sending email notification for material changes

Continued use of our services after changes constitutes acceptance of the new Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
